1. The Agreement

These Terms of Use ("Agreement") form a legally binding contract between you ("You", "User", "Customer") and Infin8PAY. Along with our Privacy Policy, these Terms govern your use of our website, platform, and services ("Service"). By using the Service, you accept and agree to this Agreement.

Infin8PAY grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for your internal business or personal purposes, subject to these Terms.

This Agreement is effective indefinitely until terminated by you or us. We may update these Terms at any time; updated versions will be posted on our website, and your continued use of the Service constitutes acceptance of any updates.

2. Services We Provide

Under this Agreement, Infin8PAY provides technology tools and integrations enabling you to connect with third-party payment gateways, acquirers, processors, and related service providers ("Partners"). These include:

• APIs, SDKs, and interfaces for payment processing integrations;
• Dashboards and analytics tools to track transaction data from your Partners;
• Optional add-ons such as fraud monitoring, KYC integrations, or white-label payment pages.

3. Regulatory Status

Infin8PAY provides technology solutions only and does not operate as a regulated payment institution or money services business. We do not hold, transfer, or manage client funds. Compliance with financial regulations applicable to your business, including but not limited to customer onboarding, KYC, AML, and other requirements, is solely your responsibility.

4. Client Onboarding Responsibility

You acknowledge and agree that Infin8PAY is not responsible for onboarding, verifying, or performing due diligence on your clients or end-users. You are solely responsible for ensuring your compliance with applicable laws and regulations when using our technology to onboard or service your clients.

5. Transaction Execution

Infin8PAY is not responsible for the execution, timing, or success of transactions processed by third-party providers you choose to integrate with our technology. Execution, settlement, and accuracy of transactions remain the sole responsibility of your selected payment processors or financial institutions.

6. Access and Eligibility

By using our Service, you confirm that:

• You are at least 18 years old and legally authorized to enter into this Agreement.
• You will only use the Service for lawful purposes.
• You will not use the Service for fraudulent or illegal activities.
• You are responsible for safeguarding your access credentials.
• You will promptly notify us of unauthorized access or suspicious activity related to your account.

7. Intellectual Property

All website content, technology, trademarks, logos, and documentation are owned by Infin8PAY. You may not copy, distribute, or create derivative works from our materials without our prior written consent.

8. Prohibited Uses

You agree not to use the Service to:

• Violate applicable laws or regulations;
• Facilitate money laundering, terrorist financing, or activities involving sanctioned parties;
• Impersonate others or misrepresent your identity;
• Interfere with the operation of our Services.

9. Force Majeure

Infin8PAY shall not be liable for any delay or failure in performance resulting from acts beyond our reasonable control, including natural disasters, war, internet outages, regulatory changes, or acts of government.

10. Data Ownership

You retain ownership of all data you or your customers provide. By using the Services, you grant Infin8PAY a limited right to process such data solely for delivering the Services.

11. Limitation of Liability

To the fullest extent allowed by law:

• Infin8PAY provides the Services “as is” and disclaims all warranties, express or implied.
• Infin8PAY’s total liability under this Agreement shall not exceed the fees paid by you to Infin8PAY for the Services in the twelve (12) months preceding the claim.
• Infin8PAY shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption.

12. Indemnification

You agree to indemnify, defend, and hold harmless Infin8PAY and its affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your use of the Service, violation of this Agreement, or infringement of any third-party rights.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Ras Al Khaimah, UAE.
